Terms of Service

These Terms of Service ("Terms") govern your use of NudgeUP, operated by DryDev Professional Services LLC ("we," "us," or "our"). By creating an account or using NudgeUP, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility

You must be at least 13 years old to use NudgeUP. By creating an account, you confirm that you are 13 or older. Users under 18 must have parental or guardian consent. We reserve the right to terminate accounts that violate age requirements.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@getnudgeup.app if you suspect unauthorized access.

You may not create multiple accounts to circumvent restrictions, bans, or feature limits.

3. Acceptable Use

You agree not to use NudgeUP to:

• Harass, bully, threaten, or harm other users
• Post or transmit illegal content, hate speech, or content that exploits minors
• Spam, phish, or send unsolicited commercial messages to other users
• Impersonate any person or entity
• Reverse engineer, scrape, or attempt to extract source code or data from the service
• Attempt to circumvent rate limits, subscription gates, or security controls
• Use automated bots or scripts to interact with the service
• Violate any applicable law or regulation

We may suspend or terminate accounts that violate these rules, with or without notice.

4. NudgeBud Relationships

NudgeUP connects you with other users ("NudgeBuds") for accountability purposes. You are responsible for your interactions with other users. We are not responsible for the behavior of other users. If you experience harassment or abuse, use the block feature and report it to support@getnudgeup.app.

5. Content You Post

You retain ownership of content you create in NudgeUP (tasks, notes, broadcasts). By posting content, you grant us a limited license to store and display it to you and your connected NudgeBuds as part of the service. We do not claim ownership of your content and will not use it for advertising purposes.

6. Subscriptions and Billing

Free tier: Available indefinitely with no payment required.

Pro trial: All new accounts receive a 14-day Pro trial at no charge. No credit card is required to start a trial.

Pro subscriptions: Billed through Stripe. Prices are shown at checkout. Subscriptions auto-renew unless cancelled before the renewal date.

Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time.

Founding Member pricing: Users who subscribe during the first 6 months after public launch have their price locked for the lifetime of their subscription. Cancellation forfeits price lock.

Refunds: We offer a 7-day refund on first-time purchases if you contact us within 7 days of your first charge. Contact billing@getnudgeup.app.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance, release updates, or temporarily suspend the service with or without notice. We are not liable for losses resulting from downtime.

8. AI Features Disclaimer

NudgeUP's AI coaching features are for motivational and organizational purposes only. They are not a substitute for professional mental health, medical, financial, or legal advice. AI responses may be inaccurate. Use your own judgment.

9. Intellectual Property

NudgeUP and its design, code, branding, and content (excluding user-generated content) are owned by DryDev Professional Services LLC. You may not copy, distribute, or create derivative works without our written permission.

10. Termination

You may delete your account at any time from within the app. We may terminate or suspend your account at any time for violation of these Terms. Upon termination, your access ends immediately. Data deletion follows the schedule described in our Privacy Policy.

11. Disclaimer of Warranties

NudgeUP is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free or that results will meet your expectations.

12. Limitation of Liability

To the maximum extent permitted by law, DryDev Professional Services LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of NudgeUP, even if we have been advised of the possibility of such damages. Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which DryDev Professional Services LLC is registered, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before the change takes effect. Continued use of NudgeUP constitutes acceptance of the updated Terms.
